Virtual Agent Services Agreement

Welcome to
RocketCore. These Terms of Service (the “Terms”) are a legal agreement
between you and RocketCore LLC (“RocketCore,” “we,” “us,” or “our”)
governing your access to and use of our virtual agent platform and related
services (the “Service”). When we say “you” or “your,” we mean the
individual accepting these Terms and the organization on whose behalf you are
acting.
By clicking
“I Agree,” completing onboarding, or otherwise accessing or using the Service,
you confirm that you have read and understood these Terms and that you accept
them on behalf of yourself and your organization. If you do not agree, do not
click “I Agree” and do not use the Service.

1. The Service
RocketCore
provides a platform that lets you build, configure, deploy, and operate
AI-powered virtual agents (each, a “Virtual Agent”) for your own use cases. We
provide the underlying technology, hosting, models, and tools. You decide what
your Virtual Agent does, how it behaves, and how it represents itself to the
people who interact with it (“End Users”).
2. Your Account and Onboarding
To use the
Service, you must create an account and complete our onboarding process. You
agree to provide accurate information, keep your credentials secure, and be
responsible for all activity that occurs under your account. You must be
authorized to bind your organization to these Terms.
3. Your Virtual Agent: Configuration, Guardrails, and Persona
You are in
control of your Virtual Agent—and you are responsible for it. Specifically,
you are solely responsible for:

Guardrails. The policies, content filters,
restricted topics, escalation rules, refusal behaviors, and safety controls
that govern what your Virtual Agent will and will not do.
•
Agent Configuration. All system prompts,
instructions, knowledge sources, integrations, third-party data, and parameters
that shape your Virtual Agent’s behavior and outputs.
•
Persona Details. The name, voice, tone,
language, identity disclosures, and branding that your Virtual Agent uses when
interacting with End Users.
•
Approval. Reviewing, testing, and formally
approving your Guardrails, Agent Configuration, and Persona Details before you
launch your Virtual Agent and after every change.
•
Compliance. Making sure your Virtual Agent, as
you have configured it, complies with all laws and regulations that apply to
you, including consumer protection, advertising, privacy, and any
industry-specific rules (such as those for healthcare, financial services, or
education).
•
Disclosures. Giving End Users any required
notices, including any disclosure that they are interacting with an AI system.
•
Monitoring. Watching how your Virtual Agent
performs and pausing, modifying, or retiring it if something looks wrong.

You are solely responsible for approving the
configuration. Your
acceptance of these Terms, your launch of a Virtual Agent, and your continued
use of the Service each count as your final approval of the Guardrails, Agent
Configuration, and Persona Details that are then in place. We do not
pre-approve, validate, or sign off on your Virtual Agent. Any templates,
examples, or suggestions we may share are for convenience only and are not
approval, endorsement, or a guarantee that they fit your use case. |
4. How AI Works (and What That Means for You)
Virtual Agents
use generative and probabilistic AI. Even with strong guardrails, outputs can
be inaccurate, incomplete, biased, unexpected, or otherwise unsuitable for a
given purpose. Outputs are not professional advice (legal, medical, financial,
tax, or otherwise) and should not be relied on as such. You assume the risk of
using and relying on any output produced by your Virtual Agent.
5. Mutual Release for Virtual Agent Responses

If a Virtual Agent response negatively affects
either of us, we agree not to hold each other responsible. This includes things like
reputational harm, business disruption, lost opportunity, customer
dissatisfaction, regulatory inquiry, or financial loss. Each of us releases
the other (and our respective affiliates, officers, directors, employees,
contractors, and agents) from any claims, demands, damages, losses,
liabilities, costs, and expenses (including attorneys’ fees) arising out of
or relating to any such response. |
Release of
RocketCore. You also specifically release RocketCore from any liability
arising out of or relating to: (a) the Guardrails, Agent Configuration, or
Persona Details you supplied or approved; (b) any output your Virtual Agent
generates; (c) your deployment of, or End User interactions with, your Virtual
Agent; (d) any decision or action you or an End User takes based on an output;
and (e) any failure of your Guardrails to prevent a particular output.
6. What Happens If Something Goes Wrong: Pause of Billing and Usage
If either of us
experiences an unfavorable result involving a Virtual Agent, we agree to pause
both billing and usage for the affected Virtual Agent while we sort it out.
How the
pause works:
•
Either of us can invoke the pause by sending
written notice (email is fine) to the contact on file.
•
You will promptly stop using the affected
Virtual Agent.
•
We will suspend metered usage and billing for
the affected Virtual Agent as of the time of notice.
•
Together, we will investigate in good faith,
decide on remediation (such as reconfiguration, additional guardrails, or
discontinuation), and agree on whether and when to resume use and billing.
Pausing
billing and usage is the sole and exclusive operational remedy for an
unfavorable experience and does not give either of us a right to seek damages
from the other.
7. Acceptable Use
You agree not
to use the Service to: violate any law; infringe anyone’s rights; impersonate a
person or organization in a misleading way; build a Virtual Agent that deceives
End Users about its identity as an AI where disclosure is required; generate or
distribute content that is harmful, harassing, or unlawful; attempt to reverse
engineer or interfere with the Service; or use the Service to compete with
RocketCore.
8. Fees and Billing
Fees, usage
limits, and payment terms are set out in your order, plan, or pricing page.
Except as described in Section 6, fees are non-refundable. You are responsible
for taxes other than those based on our net income.
9. As-Is; No Warranties
THE SERVICE AND
ALL OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT
PERMITTED BY LAW, ROCKETCORE DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR
STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR
PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE
WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT OUTPUTS WILL BE ACCURATE,
RELIABLE, COMPLETE, OR APPROPRIATE FOR YOUR USE.
10. Limitation of Liability
TO THE MAXIMUM
EXTENT PERMITTED BY LAW, ROCKETCORE WILL NOT BE LIABLE FOR ANY INDIRECT,
INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST
PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR
RELATING TO THESE TERMS OR THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE
POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR
RELATING TO THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU ACTUALLY PAID US FOR
THE AFFECTED VIRTUAL AGENT IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE
TO THE CLAIM.
11. Your Indemnity
You will
defend, indemnify, and hold harmless RocketCore and its affiliates, officers,
directors, employees, and agents from and against any claims, damages, losses,
liabilities, costs, and expenses (including reasonable attorneys’ fees) arising
out of or relating to: (a) your Guardrails, Agent Configuration, or Persona
Details; (b) any output your Virtual Agent generates; (c) your deployment of,
or End User interactions with, your Virtual Agent; (d) your breach of these
Terms; or (e) your violation of applicable law.
12. Term, Suspension, and Termination
These Terms
apply for as long as you use the Service. You may stop using the Service at any
time. We may suspend or terminate your access if you breach these Terms, if
required by law, or to protect the Service or other users. Sections that by
their nature should survive (including Sections 4–11 and 14) will survive
termination.
13. Changes to These Terms
We may update
these Terms from time to time. If we make material changes, we will let you
know through the Service or by email before the changes take effect. Your
continued use of the Service after the effective date means you accept the
updated Terms.
14. Governing Law and Disputes
These Terms are
governed by the laws of the state in which RocketCore LLC is organized, without
regard to conflict-of-laws rules. If a dispute arises, we will first try to
resolve it informally by contacting each other in good faith. Any unresolved
dispute will be settled by binding arbitration on an individual (non-class)
basis.

completing onboarding, or using the Service, you acknowledge that you have
read and understood these Terms and agree, on behalf of yourself and your
organization, that: • You are solely responsible for the
Guardrails, Agent Configuration, and Persona Details of your Virtual Agent. • You are solely responsible for approving
the configuration of your Virtual Agent. • Neither party will hold the other
responsible for a Virtual Agent response that negatively affects either of
you. • In response to an unfavorable experience,
billing and usage will be paused while the parties work it out. • You
release RocketCore LLC from liability as set out in these Terms. |
